First Light Capital Ltd (FLCL) was founded in late 2020 when the three principals of the VCFO accountancy business, Randolph van der Burgh, Andy Archer and Roger Hatrick-Smith combined with Toby Hunn to establish a new commercial property funds management business. With a range of expertise through property, funds management and administration, accountancy, taxation and investor relations, the founders were keen to establish their own funds management business where they could invest in commercial properties and seek likeminded investors from their personal contacts to co-invest. FLCL launched their seed investment vehicle, the First Light Property Fund Ltd in April of 2021 which was well received and oversubscribed ahead of schedule.

Following on from the successful launch of this Fund, the FLCL team have since completed the purchase of the Parnell Services Ltd portfolio of Syndicated properties which settled on 1st October 2021. This portfolio has been meticulously managed by David Nicoll for over 20 years. David has agreed to join FLCL for a period of 5 years and will assist in all matters related to property acquisitions and disposals, lease negotiations and investor relations.

FLCL are looking forward to maintaining the high standards of offerings that PSL have provided and utilising the combined knowledge that this newly formed team will provide across all facets of the business.

First Light Capital was founded on the principles of our Directors, which align our interests with those of our Investors. Our goal is to develop long term partnerships with our investors founded on mutual trust, where the growth and preservation of our capital and active ongoing management of our commercial property wealth is our primary objective. Whilst we have a diverse skillset and range of business experience, our accounting backgrounds mean we are conservative in nature.

We will only source properties in which the Directors will invest alongside investors. Our biggest asset will be our Investors, so we encourage communication and will be operating on an “Open Office” basis – come in and see us at any time and talk to us. We are centrally located and welcome the interaction.

Our Approach

Investing in commercial and industrial real estate through a managed fund or syndicate provides investors with all the benefits of direct real estate ownership but without the barriers to entry and annual compliance that are often challenging for individuals. First Light Capital will provide investors with as many of the benefits of direct property ownership as is possible.

Toby Hunn

Director

Toby is responsible for property acquisition, sales & client relations. Since relocating to Auckland in 2017 Toby was employed as the business development manager for an Auckland Property syndicator, responsible for equity raising & arranging underwrite facilities, before leaving to set up First Light Capital with the VCFO team.

Before moving to NZ Toby had a successful 20+ year career in the financial services industry in Hong Kong & Japan. He was Director & Head of Equities for the Asia Pacific region at ICAP plc, a leading UK securities company, specialising in Asian equity products and dealing with institutional clients from across the globe.

Toby holds a number of securities trading licenses from Hong Kong & Japan, and since moving to NZ is qualified as an Authorised Financial Advisor, REAA Licensed Salesperson & holds an NZX Diploma. Toby graduated from Oxford Brookes University in the UK with a Bachelor of Sciences in Geological Engineering.

Randolph van der Burgh

Director

Randolph has nearly 30 years’ experience in corporate finance, mergers & acquisitions, IPOs, financial services and international tax planning. Randolph was previously a senior partner at Ernst & Young both in New
Zealand and Australia and specialised in financial services and international tax.

Randolph has advised some of the largest financial institutions in the Asia-Pacific region on cross border private equity funds, property funds, infrastructure funds and managed investment funds, including related products for retail and wholesale investors.

Randolph has structured and set-up a number of New Zealand and offshore funds and advised on a range of debt, equity, and hybrid capital markets products. He has also advised on unit trust, superannuation and life insurance products plus various funds management, investment and hedging strategies.

David Nicoll

Advisor

David was a lawyer in Auckland for 35 years, specialising in commercial property transactions. In 2000 he established a property syndication business to meet the needs of those of his clients who wanted a stake in top-class properties in the Auckland region. That business flourished and gave the investors consistently great income and capital returns.

When looking to slow down, David was fortunate to connect with First Light Capital, whose ‘view’ of property coincides well with his, and  whose organisational skills have complemented those developed by David and his team.

David now concentrates on giving the First Light Capital team solid input into the buying and selling of commercial and industrial properties.

Andrea Leeper

Associate Director, CFO

Andrea joined First Light Capital and the VCFO Group in April of 2021 and is responsible for First Light Capital’s overall financial management, reporting and policies, ensuring the compliance of its accounting and tax practices. She also manages VCFO Group’s Fund Management Accounting team providing fund establishment and fund administration to a range of NZ, government, and offshore investors.

Previously, Andrea was a Senior Manager for Baker Tilly Staples Rodway Auckland in the Business Advisory team where she gained extensive knowledge in PIE structures, property, property funds, construction, forestry and ETS and consequently became the champion and first point of contact for these areas. Prior to this Andrea worked in the UK as the Senior Finance Manager for PwC London and Group Accountant for GLH Hotels Management (GLH) UK.

Andrea is a member of the Chartered Accountants of Australia and New Zealand and holds a Bachelor of Business Studies (First Class Honours) and Post Graduate Diploma (First Class Honours) from Massey University, Auckland.

Todd Ansell

Facilities Manager for 122 LP

Todd has provided the Facilities Management services for the 122 LP portfolio of medical properties for 4 years. Todd splits his time between the two centres and ensures the maintenance, upkeep and smooth business operations of each facility.

Christine Morgan

Accounts Administrator

Christine has worked alongside David Nicoll on the Parnell Services Ltd property portfolio for 25 years being the first point of contact for all property related enquiries and assisting with accounts and administration. Christine will continue on as Accounts Administrator for the whole First Light Capital portfolio.

Megan Brown

Adminstrative Manager

Megan provides our clients with the first point of access to meet any information needs you have or to answer any queries.  She is responsible for the administration of the fund and helps us with client communications.  

Megan has a long career in customer service and ensures we deliver on our promises to clients.  She also looks after the efficient running of the office.

Irina Ionova

Business Development Manager

Irina joined the VCFO group in 2015 and also now acts for First Light Capital as a business development manager. Irina specializes in providing tailored financial solutions to private investors, family offices, investment funds, and companies. Prior to moving to NZ in 2015 Irina was the Director of an insurance company in Russia.

At First Light Capital her roles include:

  • AML/CFT compliance
  • Equity raising and investor relations
  • Projects management (funds set up, funds closures)
  • Companies Office and other Registries: filings and maintenance.

Kelly Bunyan

Independent Chair & Director

Kelly has extensive experience with property, commercial, and construction contracts and methodologies, property tenure legislation and building regulation, project management and delivery, as well as operational management of one of New Zealand’s largest and most complex property and infrastructure portfolios and supply chains.

She has demonstrated experience with developing strategic property initiatives and executing large scale developments, divestments and acquisitions, and infrastructure arrangements at scale. Kelly is an industry leader and brings a wealth of property experience to the table.

Roger Hatrick-Smith

Director

Roger’s domestic and international business advisory experience spans 40 years.  He has a deep understanding of the issues and challenges facing businesses wanting to grow both in New Zealand and offshore.  He has advised many businesses through various stages of growth offering insights and knowledge acquired through many years of working closely with entrepreneurs and their businesses. As a 10+ year partner at EY, Roger initially was a partner in EY consulting and after the sale of their consulting practice to Cap Gemini headed the Australasian public sector consulting practice for four years.  Subsequently Roger was partner in charge of the Entrepreneurial Services and Transaction Advisory service lines at EY and was a member of the executive management group of the Firm.

Roger is a founding Director of VCFO Group Ltd after forming the original VCFO Firm in 2007 and is responsible for the accounting and business advisory areas of the Firm.  He has experience across a number of business areas including commercial property management, property development and a range of young entrepreneurial start-up companies and provides advice on guidance on growth; access to capital; strategy commercialisation; valuations; and acquisitions and divestments.

Roger is a Chartered Accountant and has post graduate management qualifications from Massey University.

Andy Archer

Director

Andy is a director of VCFO Group and formerly a senior partner at EY where he has had extensive involvement in property based businesses spanning sectors from property development, property investment, retirement villages, property financing, forestry, property consortiums, and cross-border holdings. Property businesses here range from entrepreneurial holdings to substantial multi-invested entities.

He is also currently a director and trustee of entities that hold or are developing industrial and commercial property investments. As a 25+ year partner at EY, Andy was responsible for the tax, accounting and commercial needs of clients within property, venture capital, private equity, utilities, primary resources, financial services and privately owned businesses, and he enjoyed leadership roles within the firm.

Andy is a member of the Institute of Directors and also Chartered Accountants Australia & NZ. He is also a member of Impact Investing and the International Fiscal Association. He qualified from VUW with a Bachelor of Laws (Hons) degree and Diploma in Accounting.

Andy is also involved in leading and governance of 2 national charities, and a property based not-for-profit entity.
